Corrina McGowan is Principal of Your Digital Team (YDT) and Workstream 1 Lead (Marketing & Digital Acquisition) for Flip 360. YDT delivers Australian-market PR, brand, content and paid-channel programmes end-to-end — strategy, production and distribution under one roof. For Flip 360, Corrina is the named author and accountable executor of Volume 4 (Marketing) and Volume 5 (PR & Media).

Acceptance basis. Each chapter has a defined evidence-of-delivery acceptance test (artefact published, KPI measured, or capability operating) tracked weekly in the live PMO board under Workstream 1. Steerco #1–#6 review delivery cumulatively. The whole-scope acceptance happens at Steerco #6 (17 Aug 2026), with the two-week gap to G4 cutover on 31 Aug used for sign-off paperwork.

Symmetric pairingYDT Phase 1 fee mirrors CoSai Phase 1 fee ($5,000.00 / month each). Both providers receive identical fixed-fee treatment in Phase 1; Phase 2 economics differentiate by KPI category — see Phase 2 proposal.
Production passthroughsThird-party media spend, talent, location and equipment costs are not included in the retainer. They are quoted, approved by the Client, and recharged at cost (no margin). Each passthrough has a written Client approval before commitment.
Payment methodDirect credit to Provider bank account (details on invoice)
Late paymentIf a monthly invoice is not paid within 14 days of due date, the engagement is paused until paid; if not paid within 30 days, this Agreement may be terminated by the Provider on notice.

5  ·  Intellectual property

  100% of intellectual property produced under this engagement is assigned to Flip 360 / Mathew Punter on full payment of the corresponding fees.

This includes: brand system, hero film and all moving-image masters, photography, paid-ad creative, editorial content, press kit, halo asset, pitch documents, media list, journalist relationship records, press room CMS content, and any derivative work product. Third-party licences (stock, music, talent releases) are obtained in the Client's name where commercially reasonable. YDT retains no residual rights and no usage licence; YDT may reference the engagement (anonymously or by name with Client consent) for credentialing purposes only.

6  ·  Standard terms & conditions

  1. Independent contractor. Your Digital Team engages with Flip 360 as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship.
  2. Confidentiality. Each party will keep the other's confidential information confidential and use it only for the purpose of this engagement. Obligation survives termination for 5 years.
  3. Data & privacy. Each party will comply with the Australian Privacy Act 1988 in handling personal information arising from the engagement. Flip 360 is the data controller; YDT is a data processor for marketing and analytics data.
  4. Warranties. YDT warrants the services will be performed with reasonable care and skill consistent with senior Australian PR/media/marketing practice. Editorial and earned-media outcomes are best-endeavour, not guaranteed.
  5. Limitation of liability. Each party's aggregate liability under this Agreement is limited to the total fees paid or payable in the engagement window, except for: (a) breach of confidentiality; (b) IP assignment breach; (c) fraud or wilful misconduct.
  6. Insurance. YDT will maintain Professional Indemnity and Public Liability insurance of not less than AUD $2,000,000 for the duration of the engagement.
  7. Termination for convenience. Either party may terminate this Agreement on 14 days' written notice. On termination, Flip 360 will pay for services performed up to the termination date plus any non-cancellable production commitments; YDT will deliver all work product to Flip 360.
  8. Termination for cause. Either party may terminate immediately on written notice if the other materially breaches and fails to remedy within 7 days of notice, or becomes insolvent.
  9. Conflict of interest. YDT discloses no current conflict. YDT will not act for a direct competitor of Flip 360 (defined as another Australian referral-economy / introducer-platform / women-led network business) during the engagement and for 6 months after.
  10. Force majeure. Neither party is liable for delay or failure caused by events outside reasonable control (natural disaster, pandemic, government action).
  11. Dispute resolution. The parties will negotiate in good faith for 30 days before referring any dispute to mediation under Resolution Institute rules. Litigation is a last resort.
  12. Governing law. This Agreement is governed by the laws of New South Wales, Australia.
  13. Entire agreement. This Agreement is the entire agreement between the parties on this subject and supersedes prior representations.
  14. Amendment. Any amendment must be in writing and signed by both parties.
  15. Counterparts & electronic signature. This Agreement may be signed electronically (including via the on-page signature pad), and in counterparts, each of which is deemed an original.
